Malverne Library Board of Trustees
BY-LAWS
Statement: Where ever the word or words “Board, Board of Trustees, Trustees” appears in these writings they shall be construed to mean the Malverne Library Board of Trustees, unless otherwise stated.
Article I. Administrative Guidelines
Section 1. All By-Laws, and amendments thereto are to have the effective date affixed to the front page of all copies.
Section 2. The “Official” copy of the By-Laws, amendments thereto are to have a certification sheet attached to the rear. The certification sheet shall indicate the date of the Board meeting at which they were reviewed and approved and an effective date (if different from the approval date).
Section 3. The “Official” copy of the By-Laws, and amendments thereto shall be kept on file in the Library Directors files and a copy shall be filed with the minutes of the meeting at which they were approved.
Section 4. Each member of the Board will be provided with a current “in effect” copy of the By-Laws, upon appointment to the Board and upon adoption of any amendments.
Article II. Membership
Section 1. There shall be 5 members of the Library Board.
Section 2. Under the Education Law and Charter of the Malverne Public Library granted by the Regents of State of New York, the Board of Trustees of the Village of Malverne elects the members of the Board of Trustees of the Malverne Public Library, each to serve for a term of Five years; only one term expiring each year.
Article III. Authority
Section 1. The Board of Trustees derives its authority to operate the Malverne Public Library from its Charter granted by the Board of Regents of New York State and Education Law of State of New York.
Article IV. Meetings
Section 1. Regular meetings of the Library Board will be held monthly at such date, time and place as may be set by the Board.
Section 2. Special meetings of the Board may be called by the President or Vice President, or upon request of 3 Trustees.
Section 3. The Annual Library Board reorganization meeting will be held in the month of March at which time the election of officers will be held.
Article V. Officers
Section I. The officers of the Library Board shall be a President, Vice President, and Secretary. The Board members will elect the officers from the currently seated members of the Board at the annual reorganization meeting.
Section 2. The term of the officers will be for a period of one year from the annual meeting.
Section 3. Their duties shall be those usually associated with each of such office, respectively.
Section 4. In the event of a vacancy in office of one of the officers the remaining Board members will elect, from their number, a member to fill the office until the next annual meeting.
Article V (A). Treasurer
Section 1. Board shall appoint at each annual meeting a treasurer to exercise all powers recognized under law, including applicable provisions of the Education Law and General Municipal Law.
Article VI. Quorum
Section 1. At any meeting of the Board, three Trustees shall constitute a quorum.
Article VI (A). Board Action
Section 1. All resolutions and board action shall be approved by minimum of 3 trustees.
Article VII. Order of Business
Section 1. At each regular meeting of the Board the following will be the order of business:
- Approval of the minutes of the previous meeting.
- Report of the Treasurer
- Report of the Library Director
- Correspondence
- Old and Unfinished Business
- New Business – approval of vouchers
- Adjournment- scheduling of next meeting
Section 2. By majority vote of those present at any Board meeting the above order of business may be set aside for that meeting.
Article VII. Vacancies
Section l. Any position on the Board that may become vacant for any reason, other than normal expiration of term of office, shall be filled by appointment made by a majority of the remaining members of the Board. Such appointment will be for the duration of the unexpired term of the position being filled.
Article IX. Amendments
Section l. The By – Laws may be amended at any regular meeting of the Board by a 2/3 vote of the entire board provided written notice has been given to all Trustees
Section 2. Any and/or all the By – Laws may be suspended for the time being by the unanimous vote of the member present (providing a quorum is present) at any meeting of the Board.
